Overview

As a Senior Paralegal II at PayNearMe, you will be an integral part of a lean legal team, focusing on equity administration and corporate governance while collaborating closely with attorneys and cross-functional partners.

In Short

• Administer the company's equity program in Shareworks
• Prepare Board of Directors exhibits for stock option approvals
• Support General Counsel with Board meeting preparation
• Manage outbound signature workflows
• Handle subpoena intake and coordinate responses
• Maintain corporate records and entity documentation
• Familiarity with corporate governance and Delaware corporate law
• Strong organizational skills and attention to detail
• 5+ years of paralegal experience, preferably in-house
• Proficiency with legal technology tools

Requirements

• Paralegal certificate from an ABA-approved program
• Hands-on experience with equity administration platforms
• Ability to manage multiple workstreams independently
• Comfortable working with attorneys and cross-functional stakeholders
• Familiarity with contract lifecycle management tools
