Associate General Counsel, Securities & M&A - Remote

Overview

NIQ is seeking a highly-skilled and business-oriented attorney with 7-10 years of experience in securities law and M&A to join our in-house legal team. The candidate will support securities law compliance, corporate governance, mergers, acquisitions, dispositions, joint ventures, equity investments, licensing, alliances and other sophisticated corporate transactions on a global scale.

In Short

• Advise on US federal securities law compliance and prepare SEC filings.
• Support board and committee meetings and ensure compliance with corporate governance laws.
• Lead attorney on domestic and international M&A transactions.
• Handle deal structuring, drafting and negotiating agreements.
• Advise on regulatory and compliance matters related to M&A.
• Manage outside counsel and ensure alignment with company objectives.
• Collaborate with internal teams including finance and HR.
• Strong drafting, negotiation, and analytical skills are required.
• Experience in a public company environment preferred.

Requirements

• J.D. from an accredited law school and admission to practice in at least one state bar.
• Minimum of 7 years of experience in U.S. securities laws and M&A.
• Deep knowledge of corporate governance and M&A transactions.
• Experience in the technology sector is a plus.
• Ability to prioritize and multi-task effectively.
• Strong organizational and interpersonal skills.
• Ability to communicate legal issues clearly and concisely.
• Familiarity with international M&A and cross-border regulatory issues.
• Exposure to executive compensation and equity plan matters.
