Associate General Counsel, Corporate and Securities - Remote

Overview

Abnormal Security’s Legal Department is looking for a world-class senior corporate and securities attorney. Reporting directly to the Chief Legal Officer, this role will be responsible for handling a wide range of corporate, securities and compliance matters. The initial focus will be to partner with the accounting, finance, stock administration and investor relations functions to prepare the company for a potential Initial Public Offering, laying the groundwork for ongoing securities compliance as a publicly traded company. In Short

• Lead and manage the legal aspects of the company’s public company readiness process.
• Responsible for the preparation and/or review of periodic reports and required filings.
• Develop and implement internal policies and controls for compliance with securities laws.
• Collaborate with finance and investor relations teams for accurate disclosures.
• Provide guidance on public company governance matters.
• Prepare materials for Board of Directors and maintain corporate records.
• Manage the planning and execution of the annual stockholder meeting.
• Support M&A activity and other corporate transactions.
• Ensure compliance with global laws and regulations.
• Manage external counsel relationships.

Requirements

• JD / US law degree and bar admission in good standing.
• Minimum of 10 years of relevant experience in corporate and securities law.
• Deep knowledge of SEC rules and regulations.
• Strong communication skills to explain complex legal concepts.
• Ability to work effectively in a fast-paced environment.
• Demonstrated ability to act independently and prioritize tasks.
• High level of integrity and professionalism.
• Must be located on the West Coast.
