Overview

GeneDx is seeking a highly skilled Counsel, Governance and Securities Law to oversee board operations, compliance with securities laws, and corporate governance matters.

In Short

• Drive and support preparations for board and committee meetings.
• Ensure compliance with SEC and corporate governance best practices.
• Manage logistics for board meetings and offsites.
• Maintain relationships with directors and executives.
• Track compliance with regulatory and governance standards.
• Oversee preparation of SEC filings and proxy statements.
• Advise on insider trading policy and compliance.
• Support capital markets transactions and equity programs.
• Assist in developing executive compensation programs.
• Collaborate with various teams to ensure timely disclosures.

Requirements

• JD required from a US accredited institution.
• 7+ years of experience in corporate governance and securities law.
• Expertise in executive compensation and regulatory filings.
• Experience working with executive leadership and board members.
• Excellent written and verbal communication skills.
• Highly organized with attention to detail.
• Proficiency in board management software and Microsoft Office Suite.
