Overview

As a Senior Corporate Counsel at Upstart, you will lead major work streams related to public company obligations and corporate governance practices, assisting with strategic transactions like equity and debt offerings and M&A transactions.

In Short

• Provide legal advice on federal securities laws and SEC regulations.
• Draft and advise on SEC filings and internal communications.
• Lead corporate finance transactions, including capital markets offerings.

Requirements

• J.D. degree with state bar membership (CA or NY preferred).
• 5+ years of legal experience in corporate and securities law.
• Excellent knowledge of securities laws and regulations.
• Experience with corporate governance and board matters.
• Familiarity with corporate finance transactions.
• Strong communication and project management skills.
• Proactive approach to legal advice and problem-solving.
• Team-oriented mentality.
• Excellent judgment and decision-making capabilities.
