Senior Legal Counsel, Capital Markets - Remote

Overview

As a Senior Legal Counsel at Upstart, you will support the execution of key financing transactions and provide practical legal guidance across investor-facing activities, working collaboratively to scale processes and ensure consistency across products and funding structures.

In Short

• Support capital markets and finance teams on purchase and sale agreements, securitizations, and other liquidity arrangements.
• Draft, review, and negotiate transactional documents with institutional investors.
• Partner with internal stakeholders and external counsel for securitization transactions.
• Manage deal flow, timelines, and documentation across multiple transactions.
• Collaborate with legal, product, and regulatory teams to ensure agreement consistency.
• Improve transaction templates and processes for efficient execution.
• Provide guidance on legal risks and contribute to internal education.

Requirements

• Juris Doctor (J.D.) degree and active membership in a U.S. state bar.
• 5+ years of legal experience in structured finance, debt finance, or capital markets.
• Experience drafting and negotiating transactional agreements.
• Experience working with cross-functional stakeholders on complex transactions.
