Legal Counsel - Remote

Overview

Banyan Software is seeking to add an exceptional Legal Counsel to join its legal team in the UK & Europe. The successful candidate will work alongside the General Counsel and the European Legal Director, and where appropriate, outside counsel, to provide legal support and advice on a wide variety of M&A matters across the United Kingdom, the European Union, Australia, and New Zealand.

In Short

• Assist in all stages of the acquisition processes in multiple jurisdictions.
• Coordinate due diligence and draft transaction documents.
• Support portfolio companies in contract review and negotiation.
• Draft and edit various business agreements.
• Ensure regulatory compliance (e.g., GDPR).
• Handle HR matters including employment agreements.
• Work in a hybrid pattern, 2+ days in the office.
• Travel to European entities or global HQ occasionally.
• Collaborate with the legal team and outside counsel.
• Contribute to a diverse and inclusive workplace.

Requirements

• A degree in Law or equivalent qualification.
• Qualified as a solicitor in England and Wales, or Germany.
• 3 years PQE of M&A experience, ideally in an international law firm.
• In-house commercial experience in the Software/Technology industry is a strong asset.
• Proficiency in the German language (oral and written) is required.
• High-energy self-starter and team player.
• Excellent drafting and communication skills.
• Strong organizational skills and ability to manage multiple projects.
• Strong decision-making abilities and attention to detail.
