Assistant General Counsel - Remote

Overview

As an Assistant General Counsel for ReSource Pro, you will handle a variety of corporate transactions, including acquisitions, divestitures, private equity-sponsored deals, and strategic investments while contributing to commercial contract negotiations and corporate governance matters.

• Assist SVP, General Counsel in advising on legal matters related to mergers and acquisitions.
• Coordinate with sales and client executives to manage the lifecycle of commercial contracts.
• Assist in developing new service agreements and manage agreement iterations.
• Review and draft revisions to contract documents.
• Identify and assess potential legal risks and provide recommendations.
• Stay updated on relevant laws and regulations.
• Perform legal research as assigned.

Requirements

• JD from an accredited law school and membership in good standing of any US state bar.
• 4-6 years of experience in law (firm, corporate, or both).
• Knowledge of corporate law and procedures.
• Ability to draft contracts related to services and products.
• Apply regulatory knowledge in decision-making processes.
