• Provide legal guidance on securities and corporate governance matters.
• Assist in designing an enhanced control framework for a possible IPO.
• Review, negotiate, and draft legal documents.
• Work with the board of directors on meeting materials and approvals.
• Ensure compliance with financing agreements.
• Advise on legal risks and develop mitigation strategies.
• Collaborate with teams for compliance with laws and regulations.
• Manage outside counsel and legal expenses.
• Stay updated on corporate and securities laws.

Requirements

• Juris Doctor degree and state bar admission.
• 5-8+ years of experience in securities and corporate governance.
• Experience with high-growth private companies, especially in tech or fintech.
• Outstanding communication skills.
• Ability to work independently and in teams.
• Experience managing diverse projects in complex environments.
