Corporate Counsel - Remote

Overview

Hims & Hers is seeking an outstanding Corporate Counsel to join our growing, collaborative Legal team. You will have the opportunity to provide teams from across the company with actionable legal advice on various corporate and securities laws, rules, and regulations applicable to Hims & Hers.

In Short

• Support and manage the Company’s strategic transactions, including M&A transactions and capital markets transactions.
• Support the integration of acquired entities and post-closing obligations.
• Assist with SEC filings and provide general board support.
• Provide risk-based advice to executives and cross-functional teams.
• Advise on investor relations and corporate communications matters.
• Monitor impacts of new corporate laws to ensure compliance.
• Stay updated on governance trends and recommend policy changes.
• Assist with entity management and reorganizations.
• Identify issues related to privacy, product, and healthcare regulations.
• Collaborate with various teams on legal matters.

Requirements

• Juris Doctor from an ABA-accredited law school and active license in at least one US jurisdiction.
• 7+ years of corporate, securities, and/or M&A experience.
• Experience in managing strategic transactions and advising on risks.
• Familiarity with SEC rules and compliance for public companies.
• Experience with corporate governance and board matters.
• Strong project management skills and team-oriented mindset.
• Excellent communication skills and ability to adapt in a fast-paced environment.
• Experience in technology or healthcare industries is a plus.
