Overview

Arista Networks is seeking a Securities Counsel to provide legal counsel and advice on securities law matters and corporate governance.

In Short

• Draft and review SEC filings and proxy statements.
• Monitor SEC and NYSE rules and corporate governance developments.
• Support preparation of earnings releases and public disclosures.
• Advise on Regulation FD and public disclosure matters.
• Provide strategic advice on policies of proxy advisory firms.
• Assist in corporate policy reviews and training.
• Advise on insider trading policies and shareholder proposals.
• Assist with subsidiary management and compliance matters.
• Support investments and M&A activities.
• Collaborate with executive team and business partners.

Requirements

• Juris Doctor Degree and bar membership in good standing.
• 6-10 years of relevant securities experience.
• Preferred in-house and law firm experience.
• Experience with publicly traded companies.
• Broad knowledge of federal securities laws.
