Overview

Sotheby’s, Inc. seeks a Senior Counsel to work with the Sotheby’s Financial Services (SFS) team to structure bespoke art-backed financial transactions for SFS’s clients in multiple jurisdictions.

In Short

• Draft, review and negotiate loan agreements and related documents.
• Conduct due diligence and facilitate transaction closings.
• Advise on creation and perfection of security interests.
• Provide guidance on lending regulations applicable to art lending.
• Requires a J.D., LL.M., or foreign equivalent.
• 4 years of corporate and/or commercial experience required.
• Experience with complex secured lending transactions is essential.
• Must be admitted to practice law in New York State.
• Part-time telecommuting is permitted.

Requirements

• 4 years of experience with secured lending transactions.
• Experience preparing and negotiating lending documentation.
• Knowledge of UCC Articles 8 and 9.
• Experience with bond documentation and private placement agreements.
• Active and in good standing with the New York State bar.
