Overview

This role is for a Corporate Paralegal with real startup experience, working remotely for a technology-forward corporate law firm that supports elite founders and high-growth startups.

In Short

• Full-time remote position with a 90-day VA-to-Direct Hire track.
• Support venture financings, equity management, and corporate governance.
• Prepare draft board and stockholder consents, stock and option agreements.
• Manage capitalization records in Carta and Pulley.
• Coordinate document execution and ensure organized records.
• Prepare compliance filings and assist with securities-related tasks.
• Communicate with startup clients regarding documentation.
• Develop internal processes as the firm scales.
• Demonstrate ownership and operational independence.
• Transition into a direct hire position based on performance.

Requirements

• Experience in supporting venture-backed startups or corporate law practices.
• Hands-on experience with Carta and/or Pulley.
• Experience coordinating closings and managing signature packets.
• Strong organizational skills to manage multiple matters.
• Tech-forward mindset and comfort with legal operations tools.
• Self-sufficient, proactive, and solutions-oriented.
• High attention to detail and strong written communication skills.
