Sr. Corporate Paralegal - Remote

Overview

The overall goal of the Sr. Corporate Paralegal role is to provide comprehensive legal support in various areas, with a particular focus on corporate governance and compliance.

In Short

• Administer global stock plans and manage the company minute book.
• Support due diligence exercises and oversee compliance and securities filings.
• Handle UCC filings and draft legal documents.
• Coordinate proxy materials and communicate with shareholders.
• Ensure adherence to compliance and regulatory filing calendars.
• Contribute to the efficient operation of the legal department.
• Work on special projects and provide general legal operations support.
• Collaborate with internal and external business partners.
• Utilize critical and creative thinking to solve complex problems.
• Maintain confidentiality and handle sensitive information with discretion.

Requirements

• 15-18 years of experience in large law firms and corporate roles.
• 5 years of public company experience.
• Experience with Global Legal Entity Management.
• Expertise in securities compliance.
• Strong project management skills.
• Excellent verbal and written communication skills.
• Ability to synthesize information and apply critical thinking.
• Attention to detail.
• B.A./B.S. in a related field or equivalent work experience.
• Certification (CEP) and membership in the National Association of Stock Plan Professionals is a plus.
