Associate Counsel - Remote

Overview

The Associate Counsel will support a broad range of corporate, securities, transactional, and governance matters in a dynamic, fast-moving environment.

In Short

• Support corporate governance matters, including drafting board materials and ensuring compliance.
• Assist with securities law matters and compliance with NYSE/Nasdaq standards.
• Support M&A transactions and other strategic corporate initiatives.
• Review, draft, and negotiate various commercial agreements.
• Monitor regulatory developments affecting digital assets and corporate operations.
• Provide timely legal advice to business teams.
• Collaborate with external counsel as needed.
• Contribute to building internal legal processes.

Requirements

• J.D. from an accredited law school; admitted to practice in at least one U.S. state.
• 2-3 years of experience in corporate law or securities at an AM Law 100 firm or in-house.
• Strong drafting, analytical, and organizational skills.
• Able to manage multiple projects with minimal oversight.
• Comfortable working in a remote-first environment.
• Demonstrated initiative and sound business judgment.
• Experience in cryptocurrency or blockchain is a plus.
