SEC Reporting and Corporate Legal Director - Remote

Overview

Dave is looking for an experienced SEC Reporting and Corporate Legal Director to join its corporate and commercial legal team. This role will be expected to handle a wide breadth of day-to-day legal issues.

In Short

• Act as lead advisor for SEC reporting and securities law compliance matters.
• Oversee preparation of proxy statement and annual meeting logistics.
• Provide legal guidance on external communications.
• Ensure compliance with SEC and Nasdaq rules.
• Support corporate governance matters.
• Manage insider trading compliance program.
• Advise on Delaware corporate law and governance policies.
• Support the board of directors and committees.
• Provide legal support for equity plans.
• Advise on new rules and market trends.

Requirements

• Juris Doctorate (J.D.) degree and qualified to practice law in the USA.
• 6+ years of SEC advisory and corporate governance experience.
• Expert knowledge of corporate governance and SEC rules.
• M&A, Equity, or fintech knowledge is a plus.
• Strong communication skills and ability to lead stakeholders.
• Business judgment and ability to assess legal risk.
• Team-player mindset and collaborative skills.
• Curiosity and enthusiasm for legal issues.
