Corporate Counsel – Commercial Contracts (B2B SaaS) - Remote

Overview

The Corporate Counsel for Commercial Contracts will play a critical role in supporting Prompt's rapidly expanding commercial operations by drafting, negotiating, and reviewing a wide variety of commercial agreements.

In Short

• Draft, review, and negotiate commercial contracts including customer agreements, vendor contracts, NDAs, and BAAs.
• Collaborate with Sales, Finance, Operations, and Product teams.
• Advise on contract interpretation and compliance matters.
• Maintain and improve contract templates and negotiation processes.
• Stay current on legal developments relevant to SaaS and healthcare compliance.
• 3+ years of experience in drafting and negotiating commercial contracts.
• Strong knowledge of contract law and excellent negotiation skills.
• Ability to balance legal risk with business objectives.
• Flexible in a fast-paced environment managing multiple projects.
• Juris Doctor (JD) degree required.

Requirements

• Juris Doctor (JD) degree from an accredited law school.
• Admitted to the bar and in good standing.
• 3+ years of experience in commercial contracts, preferably in SaaS.
• Strong knowledge of contract law and risk allocation.
• Excellent negotiation and communication skills.
• Practical business judgment.
• Ability to think critically and strategically.
• Strong interpersonal skills.
• Ability to manage competing priorities.
