General Counsel / Head of Legal - US - Remote

Overview

Allocator One Group is a global investing platform redefining how institutional capital reaches private markets. We operate through two synergistic businesses: Allocator One backs exceptional first- and second-time fund managers around the world as an anchor investor—effectively acting as “seed-investor + platform” for emerging VC funds. Infra One, our fund-ops and tech arm, provides the regulatory, administrative, and tech infrastructure that allows those new funds to scale rapidly and globally. We are already live and serving in the UK, US, Austria, Germany and launching Singapore, India and Luxembourg imminently. Together, we deliver both the capital and the structure fund managers need—and in doing so build a global ecosystem of platforms, people, and ideas that reshape private markets.

In Short

• Lead advisor on US fund law and structuring.
• Draft legal templates for fund documentation.
• Advise on regulatory compliance and market entry.
• Conduct legal due diligence on GPs.
• Engage in strategic advisory for fund structures.
• Work closely with compliance officers on disclosures.
• Manage service provider contracts and agreements.
• Participate in investment committee meetings.
• Build relationships with external legal counsel.
• Optimize legal processes for scalability.

Requirements

• 10–18 years of experience in investment fund law.
• Expertise in US fund documentation and compliance.
• Strong knowledge of Reg D and SEC guidelines.
• Experience with multi-GP environments is a plus.
• JD from a top law school preferred.
• Bar admission in New York or Delaware is a plus.
• Business-savvy with strong communication skills.
• Entrepreneurial mindset with a focus on scaling.
• Exposure to European fund regulation is a bonus.
• CPA or accounting background is a plus.

Benefits

• Remote work with US timezone preference.
• Salary range of $220,000–$320,000 plus 25% bonus.
• Equity options available (0.15%–0.35%).
