Public Markets and Capital Formation – Board Director, Independent, Crypto-Native - Remote

Overview

We are seeking a seasoned Capital Markets Director to spearhead our transition to public markets through strategic transaction execution and institutional partnership development. This senior-level position requires deep expertise in navigating complex public listing pathways, including reverse takeover (RTO) structures and alternative routes across multiple jurisdictions including Canada, the United States, and other strategic markets such as TSX Venture Exchange, Cboe Canada, and Nasdaq.

In Short

• Lead transition to public markets.
• Manage capital formation processes including PIPE transactions.
• Build relationships in the ETF and ETP ecosystem.
• Create investor-ready frameworks for public market entry.
• Ensure alignment between business objectives and capital market opportunities.
• Maintain transparent communication with stakeholders.
• Require expertise in equity capital markets and disclosure frameworks.
• 4+ years of crypto experience required.
• Document and ensure compliance throughout processes.
• Work on a commitment of 2–4 hours per month.

Requirements

• 4+ years in crypto with experience in ETFs, ETPs, or public-company transactions.
• Proven track record with RTOs and PIPEs.
• Strong institutional network.
• Ability to sign conflicts/confidentiality letters.
• No transaction-based compensation for securities unless licensed.
