Overview

The Corporate Law Clerk will work closely with a team of four lawyers and two senior corporate law clerks in our Oakville Office on a broad range of corporate, commercial, legal and compliance matters within a dynamic and growing company. The position is flexible to work remotely up to 3 days per week and may require some travel occasionally, as needed, to the downtown Toronto office.

In Short

  • Perform all aspects of entity formation, registration and organization in Ontario.
  • Prepare and file documents for dissolutions, amalgamations, and changes in corporate structure.
  • Prepare annual resolutions and attend to corporate filings.
  • Liaise with agents for service regarding corporate registrations and renewals.
  • Maintain compliance due dates in the corporate database.
  • Conduct due diligence and prepare reports on corporate records.
  • Handle administrative duties including correspondence and invoice processing.
  • Submit applications to securities regulatory authorities.
  • Respond to inquiries regarding corporate information.
  • Assist with various KYC requests and documentation.

Requirements

  • Knowledge of corporate law and compliance matters.
  • Experience with entity formation and legal documentation.
  • Strong organizational and administrative skills.
  • Ability to work remotely and manage tasks independently.
  • Excellent communication skills, both written and verbal.
  • Familiarity with corporate databases and filing systems.
  • Attention to detail and accuracy in document preparation.
  • Ability to conduct legal research as needed.
  • Experience in a legal or corporate environment is an asset.
  • Willingness to learn and adapt to new challenges.
